Company registration in India — the basics
A private limited company is the most recommended structure for a growing business in India. It gives shareholders limited liability and allows the owners (shareholders) and managers (directors) to be different people — unlike an LLP, where partners both own and manage. We take care of every legal requirement under the Ministry of Corporate Affairs (MCA). Once approved, you receive the Certificate of Incorporation along with the company's PAN and TAN, and can open a current account to start operations.
Checklist under the Companies Act, 2013
- Unique name — not identical or similar to an existing company or trademark, and not offensive to any group
- At least two directors and two shareholders — maximum 15 directors (extendable) and 200 members
- One resident director who stayed in India for 182 days or more in the previous calendar year
- Digital Signature Certificates for directors and subscribers to sign the e-forms
- Director Identification Number (DIN) — allotted through SPICe+ for new directors

Frequently asked questions
What are the rules for choosing a company name?
The name must be unique, must not resemble an existing company, LLP or registered trademark, must not contain prohibited or offensive words, and should reflect your business activity. Words like “Bank”, “Insurance” or “National” need special approvals. We check all of this before filing.
How long does it take to register a private limited company?
Typically 7–15 working days once all documents are ready.
Do I have to be physically present?
No. Registration is fully online. You only send scanned copies and sign digitally.
Does a private limited company exist forever?
It has perpetual succession as long as annual compliance is kept up. A company that stops filing can be struck off by the ROC.
Is an audit compulsory?
Yes. The first auditor must be appointed within 30 days of incorporation and accounts audited every year, whatever the turnover.
What are the MoA and AoA?
The Memorandum of Association sets out the company's name, objects and capital. The Articles of Association are its internal rulebook — covering directors' powers, meetings and share transfers.
Is there a minimum capital requirement?
No. There is no minimum paid-up capital for a private limited company.
Can I make family members directors or shareholders?
Yes. Family members often join as the second director or shareholder, and shareholding can be changed later.
Can NRIs or foreign nationals be directors?
Yes, and they can even hold a majority stake (subject to FDI rules), provided at least one director is resident in India.
